Welcome to Coefficient Solutions LLC ("Company," "we," "us," or "our"). By accessing or using our services, you ("Client," "you," or "your") agree to these Terms of Service ("TOS"). If you do not agree with any part of these Terms, you may elect not to use our services.
1. Definitions
For clarity, the following definitions apply throughout this Agreement:
- Client refers to the individual or business entity engaging our services
- Services includes all consulting, administrative, marketing, lead generation, and project-based work provided by the Company. These services can be categorized into the following:
- Agreement refers to this Terms of Service document and any related service agreements between the parties.
- Confidential Information includes proprietary data, business processes, customer lists, and trade secrets disclosed during service engagement.
2. Services Overview and Billing Structure
We provide professional services in business consulting, marketing, and technology solutions. Services may be provided as:
- Monthly Subscription Services are ongoing services that renew automatically each billing cycle. These services provide continuous support and are designed for long-term business needs.
- Project-Based Services are one-time or milestone-driven engagements that focus on completing a specific deliverable or outcome. These projects typically have a defined start and end and are not ongoing.
- Hourly-Based Services are tasks or consulting engagements that are billed based on time spent providing the services (rounded to 15 minutes). These services are typically used for ad-hoc tasks, one-time consultations, or ongoing but non-recurring work.
The specific details of each service will be outlined in a separate Proposal, Scope of Work, or Online Purchase. We reserve the right to modify, add, or discontinue service offerings at our discretion, with reasonable notice to active clients.

3. Payment and Billing
- Hourly Services are billed in 15-minute increments and invoiced monthly.
- Project-Based Services require an initial payment (50%) upon commencement and the remaining balance upon completion.
- Payments must be made via Automated Clearing House (ACH), Check, or Credit Card.
- Late Payments: Invoices are due on receipt unless otherwise stated in a separate agreement. A 3-day grace period is provided before the invoice is considered overdue.
- Late Fees: If payment is not received within 3 days of the invoice date, a 10% late fee will be applied to the original invoice amount. A 10% late fee will be applied every 7 days on the overdue balance until paid in full.
4. Service Modifications, Cancellations & Termination
Modifications
We reserve the right to modify, suspend, or discontinue any service (or part thereof) at any time, with or without notice. Reasonable notice will be provided for significant changes affecting active clients.
Cancellations & Auto-Renewals
- Monthly Subscription Services automatically renew unless canceled at least 10 days before the next billing cycle.
- Hourly and Project-Based Services may be terminated with 30 days’ written notice.
- Cancellations must be submitted in writing via email to the assigned Project Manager or hello@coefficientsolutions.com.
- No refunds will be issued for unused time in a billing cycle or partially completed projects, except in cases where the Company fails to provide agreed-upon services.
- If a service is terminated early, any unpaid balance for completed work will be invoiced and due.
Company’s Right to Terminate Services
We reserve the right to terminate services immediately if:
- You fail to pay outstanding invoices after 30 days
- You violate these Terms, engage in fraudulent activity, or misuse our services.
- Your business practices create legal or reputational risks for us.
If we terminate services, you will be notified via email and responsible for any outstanding payments for completed work.
5. Refund Policy & No Guarantee of Results
- All payments are non-refundable unless otherwise stated in writing.
- We do not guarantee specific results, including but not limited to increased revenue, lead generation success, or social media engagement.
6. Client Responsibilities & Cooperation
To ensure effective service delivery, you agree to:
- Provide necessary materials, information, and approvals in a timely manner.
- Respond to requests and communications within 7 days to avoid project delays.
- Accept that delays in providing necessary input may result in rescheduling, additional costs, or termination of the agreement.
7. Confidentiality & Data Ownership
- Both parties agree to keep confidential information private and not disclose it without consent.
- Confidentiality obligations remain in effect for 5 years after service termination.
- Upon termination of services, all client data will be transferred to the client and deleted within 30 days, unless legally required to retain it.
- Clients are responsible for retrieving any necessary data before this period ends.
8. Limitation of Liability
To the maximum extent permitted by law, Coefficient Solutions LLC and its affiliates, officers, employees, and contractors shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of revenue, lost profits, or business interruption, arising from or related to the use of our services. Our total liability for any claim shall not exceed the total fees paid by the Client in the six (6) months preceding the claim.
9. Force Majeure
We are not liable for any failure or delay in service performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, cyberattacks, labor strikes, pandemics, government restrictions, or utility failures.
10. Testimonials & Case Studies Use
By providing feedback, testimonials, or case studies about our services, you grant Coefficient Solutions LLC a perpetual, worldwide, royalty-free license to use, reproduce, and display such materials for promotional purposes. If you wish to remove a testimonial, you must notify us in writing.
11. Data Protection & Privacy
We take data protection seriously. Any personal data collected is stored securely and will not be sold or shared without consent. Clients in the EU (GDPR) and California (CCPA) may request access, correction, or deletion of their data.
12. Support & Service Availability
Our support hours are Monday – Friday, 9:00 AM – 5:00 PM Pacific Time. Support requests submitted outside these hours will be addressed within one (1) business day.
13. Non-Solicitation
Clients agree not to hire, solicit, or contract our employees or contractors for a period of one (1) year after termination of services.
14. Beta Services
From time to time, we may offer experimental services ("Beta Services"). Beta Services are provided "as is" without warranty or support, and we are not responsible for any resulting issues.
15. Changes to Terms of Service
We reserve the right to modify these Terms at any time. Continued use of our services after modifications constitutes acceptance of the new Terms.
